What is the test for an individual to bring an action against a corporation?

Ontario, Canada

The following excerpt is from Bilbija v. LaFarge Canada Inc., 2010 ONSC 4133 (CanLII):

The general proposition that has been around for more than 100 years (Foss v. Harbottle) is that individuals have no action in law for any wrongs done to the corporation and that if an action is to be brought, either it must be by the corporation itself through management or by way of a derivative action.
