What is the purpose of the two subsections of the Corporations Act?

Canada (Federal), Canada

The following excerpt is from Suche v. The Queen, 1987 CanLII 5397 (FC), [1987] 3 FC 301:

Finally, counsel for the plaintiff points to the purpose of the two subsections as enunciated by Mr. Justice Dubé in Stuckless v. The Queen (1975), 1975 CanLII 1101 (FC), 63 D.L.R. (3d) 345. In my view, the particular passage on which he relies cannot be read in isolated context from that which immediately precedes it.
