If an implied contract exists as noted, it is governed by the laws of England and was intended to be performed in England. It was formed when the offer was made to the plaintiff and the offeror received confirmation of acceptance by the plaintiff: Neophytou v. Fraser, 2015 ONCA 45 at para. 4.
