However, the courts have also held that the presence of an entire agreement clause is not always conclusive. For example, where a contract has been induced by misrepresentation or by an oral representation, that is inconsistent with the form of the written contract, it will neither stand nor bind the party to whom the representations have been made (Elderkin & Doi’s Behind and Beyond Boilerplate, at p. 54; Bauer v. Bank of Montreal, 1980 CanLII 12 (SCC), [1980] 2 S.C.R. 102, at para. 14).
