28 In that case, the directors resigned, but failed to inform the employees for the 2 months following, that the company was no longer operating with a controlling directorship. The court held that such conduct precluded them from denying liability for vacation pay accrued in the interval. Brown v. Shearer is an estoppel case, but it must be distinguished on its facts.
