The following excerpt is from Vivian v. Firth, 2012 BCSC 517 (CanLII):

As noted above, for a winding-up order to be justified on grounds of deadlock, there must be a serious and persistent disagreement on some important questions respecting the management or functioning of the corporation and a deadlock which has the effect of paralyzing or seriously interfering with its normal operations: Palmieri v. A.C Paving Company Ltd. at para. 28. Such circumstances are absent in the case at bar.
