In Ginther v. Rainbow Management Ltd., [1989] B.C.J. No. 636 (B.C.S.C.), the court held that a shareholder of a shareholder is a person with a direct financial interest in how a company is managed and can be a proper person to make an application for an order that the affairs of a company are being conducted in an oppressive manner.
